Banking M&A faces hurdles due to regulatory complexities, slowing down transformative deals. Societe Generale's joint venture with Bernstein Research Services, announced in 2022 and completed recently, exemplifies this challenge. GlobalCapital's corporates, markets and sustainability editor, Jon Hay, believes that despite the straightforward nature of the deal, legal and regulatory intricacies prolonged its completion. The overgrowth of compliance procedures is evident across the industry, hindering swift execution. As mergers become more daunting, stakeholders call for regulatory reform to facilitate smoother transactions and revive market dynamism. I created a database of 15,000+ registered investment advisers in the United States, which collectively manage $125,000,000,000,000, and discovered something strange... VISTA FINANCIAL ADVISORS, LLC has two employees and apparently manages $11 trillion (~10% of all money managed in the United States). All clients are non-US HNW persons. Form ADV Part 1A: https://lnkd.in/gYJ4jkbd Form ADV Part 2A: https://lnkd.in/gA2H2Hmk Something is wrong. 📈 As of Dec 31, 2022 "Vista Financial had no clients and therefore no client assets under management..." But on April 5, 2023, they list $11 trillion AUM. 🤷 The Chief Compliance Officer section is empty. I didn't think that was possible. Though, later the CEO lists himself as CCO. 🤨 They list more than $50 BN in balance sheet assets (not AUM) which, for comparison, is bigger than PIMCO. 💰 They have full discretion on $11 trillion and speak to technical and fundamental analysis risk in Part 2A, but 100% of AUM is in cash and equivalents. 🌍 Vista has "arrangements with AFRICAN BANKING CORPORATION LIMITED (Kenya), a foreign bank operating in the United States, for the purposes of providing banking services to Vista Financial Advisors LLC clients." And... "Vista Financial intends to recommend that our clients use African Banking Corporation LTD as the qualified custodian." This is odd.
