Fischer Automotive develops, produces and sells kinematic components for vehicle interiors and exteriors, such as air vents, storage compartments, cup holders and electrically operated tailgates. The company manufactures and develops the products at its headquarters in Horb am Neckar, Germany, in a state-of-the-art development center and research laboratory, as well as in other plants in the Czech Republic, Serbia, China and the USA, giving the company a global presence at all major production sites in the automotive industry. With around 1,200 employees, the company generated revenues of approx. EUR 166 million in 2023. Thanks to its extensive expertise in plastics processing and its global subsidiaries, fischer Automotive has well-established relationships and direct access to a strong customer base, including well-known OEMs such as Audi, BMW and Tesla as well as Tier 1 suppliers such as Faurecia and Magna. My colleague on the Executive Board, Ralf Göttel, and I have just signed an agreement with our new investor for HOLON. This will allow us to continue to grow our mover business. At the same time, we have the necessary flexibility to continue to provide our core business with the investments it needs. The key points of today’s transaction at a glance: ▶️ TASARU Mobility Investments intends to acquire a minority stake in BENTELER’s subsidiary HOLON for a nine-digit sum. ▶️ The planned acquisition of a stake of up to 38% in HOLON by Tasaru will occur in several tranches, with the first one expected in April. ▶️ The transaction is subject to the necessary regulatory approvals. ▶️ The funds will be used to execute the series development and industrialization of our autonomous, fully electric and inclusive mover. Final part of our “Recently Acquired Companies” Series, we present our ¨acquired¨ company number 4 out of 4: Vitesco, in Germany. Over the last 18 months 4 out of our 18 Aztlan DM SMID Stock Selection strategy companies (3 in the last 6 months!) have been bought out by strategic players at significant premiums in each case. Completely unusual trend in my experience, one reason why I think it’s worth sharing. Vitesco Technologies is a German auto parts supplier, a company focusing on the development and production of components and system solutions for the powertrain of hybrid, electric vehicles, and combustion engine-based vehicles. The Company’s portfolio includes electrification solutions, electric drives, and power electronics for hybrid and battery electric vehicles- significant EV exposure. At the time of inclusion Vitesco traded at 7.5xPE and 11.4% FCFY. In our view this was a smarter way to participate in the EV opportunity, compared with other EV plays that trade at >50xPE and barely above 0% FCFY. Earlier this October 2023 Schaeffler AG, a unit of IHO Verwaltungs GmbH, announced that it intended to launch a tender offer for the 50.06% interest which it did not already own in Vitesco, at an implied premium of approximately 27%. Australian-born, US based automotive wheel manufacturer Carbon Revolution has announced preliminary sales for the fiscal second-quarter ending December 2023 of a record US$14.8 million, exceeding previously announced guidance for the quarter of US$14.0M-US$14.5M, writes Peter Roberts. For the year ended December 31, 2023, revenue increased 42 percent to US$40.3 million. Schaeffler, a German manufacturer of rolling element bearings for automotive, aerospace and industrial uses, offered to acquire the remaining 50.1% stake in Vitesco Technologies, a German automotive supplier for drivetrain and powertrain technologies, for $1.9bn. "With the launch of the tender offer today, we are initiating a transformative move for Schaeffler. By combining Schaeffler and Vitesco, we will build a leading Motion Technology Company with four focused 'pure-play' divisions, a balanced well-diversified portfolio, and critical scale across its businesses. This includes a best-in-class e-mobility champion with significant growth potential. In its second international acquisition this month, auto parts maker Samwardhana Motherson International on Monday said it will take over German high-end polymer parts maker Dr Schneider's business at an enterprise value of €118 million. The acquisition will expand Motherson's footprint in the interior polymers business with enhanced offerings in premium lighting panels and air vents. The deal follows Motherson's acquisition of Honda's Yachiyo sunroof business earlier this month. "The overall enterprise value of this transaction is approximately EUR 118.3 million subject to certain actualisation. This acquisition is done at the behest of our customers. The deal is expected to be closed by Q3 of FY23-24, subject to customary closing conditions and receipt of required regulatory approvals", SAMIL said in a statement announcement the acqusition. According to Motherson, Dr Schneider reported revenues of nearly 472 million euros for calendar year 2022, and had filed for insolvency in September 2022 due to an unsuccessful operational and financial restructuring. AUO, a leading flat panel brand in Taiwan, has agreed to acquire a German-based automotive electronics supplier Behr-Hella Thermocontrol (BHTC) at a cost of up to 600 million euros (US$628 million) as part of the company's ongoing efforts to diversify its product portfolio. The deal is expected to be completed by mid-2024, subject to the clearance of customary antitrust and regulatory approval, according to AUO. Carbon Revolution sales up, US listed shares down Australian-born, US based automotive wheel manufacturer Carbon Revolution has announced preliminary sales for the fiscal second-quarter ending December 2023 of a record US$14.8 million, exceeding previously announced guidance for the quarter of US$14.0M-US$14.5M. For the year ended December 31, 2023, revenue increased 42 percent to US$40.3 million. The latest quarter sales are a 177 percent increase year-on-year – however shareholders are unlikely to be celebrating given the company’s performance on the NASDAQ since the 2022 sale of the Australian business to US takeover vehicle Twin Ridge Capital Acquisition Corp (TRCA).
