Update: Based on the pre-statement voting disclosure at the AGM, I decided that any further thoughts along the lines below would not further the interests of shareholders...so all this was left unsaid. For the actual votes please see my last post. ASX...nomination for director...draft statement for the upcoming AGM Along with the other Director nominations, I will have the opportunity to say a few words on the day. However, based on feedback and conversations over the last few weeks, I thought I would share a draft of what I think my statement at the AGM will look like. AGM to be held on the 19th October 2023...starting at 10.00am Good morning fellow shareholders. I would like to thank those shareholders and advisors that gave my nomination a moments consideration...irrespective of the final vote. To start with, it strikes me that I might just have the most well rounded set of financial skills on the board…having formally qualified in economics, econometrics, commercial law, taxation and accounting and then over my career adding treasury and corporate finance. All this formed the foundation on which sits the operational, business analysis, project management, risk management and technology skills that one tends to pick up along the way. These skills underpinned my last 2 roles as Executive General Manager Operations at SFE and Group Executive Integration at ASX. The idea is to use all this stuff to provide the board with an experienced and pragmatic approach regarding the maintenance of revenue, reigning in costs, project management governance, the proper management of capital and achieving full regulatory compliance. The rationale for my self-nomination and what that would mean to shareholders has been up on my LinkedIn page for the last few weeks…and the board was kind enough to include a link to this page in the Notice of Meeting. The feedback over the last few weeks suggests that: • My skills and business background are appropriate, but how they are applied will need to be refreshed, • There is an expectation that I can, and will, challenge the status quo, • My governance orientation will be from the perspective of individual shareholders. That all sounds about right so I will leave it there. Thank you for your consideration. e& announced, during the group’s Annual General Meeting (AGM), that its shareholders approved the Board of Directors’ recommendation of a new progressive dividend policy with an incremental increase of AED 0.03 every year for the fiscal years 2024, 2025, and 2026 bringing the dividend per share (DPS) to AED 0.89 by FY 2026. The group’s AGM also backed the Board’s recommendation to distribute cash dividends of AED 0.40 per share for the second half (July to December) of 2023, representing a total dividend of AED 0.80 per share for FY 2023. e& shareholders also elected four members of the e&'s Private Sector Board of Directors to fill the four Board seats designated for the non-government shareholder.
