Continuum Advisory Partners is proud to have acted as exclusive financial adviser to Markerstudy Insurance on its merger with The Ardonagh Group retail division, Atlanta Insurance. The merger will create a major new player in the UK personal lines insurance market, with over £3 billion in annual premiums. The transaction, which is subject to customary conditions (including regulatory approvals), values Atlanta at £1.2 billion and will be funded by new investment led by Pollen Street Capital and Bain Capital Special Situations. This is one of the most exciting deals in UK insurance market history and the Continuum team, led by Garth Hackshall and Peter Carter, is proud to have played a key role. ⚠️📈 Risky Business. Honan Insurance Group is on the market with TA Associates mandating Goldman Sachs to run the process. Honan is an insurance brokerage rollup which was kicked off in 2020. The really interesting aspect of this deal is the multiple. TA Associates reportedly paid 15x EBITDA on acquisition in 2020 which was the height of cheap money and big valuations. Today’s market is very different. Whilst Honan Insurance Group has been on an acquisition spree with earnings increasing year on year, the pitch has sought offers based on 2025 earnings which may cause problems in offloading the group. Any price based on “future promises” will no doubt come with a string of conditions and issues which could make for a messy private equity exit.
