Position Summary

TEi Construction Services Inc. (“TEiC”) and Geo-Synthetics Systems LLC (“GSI”) are seeking a highly skilled and experienced Senior Contract Specialist to join our Legal Department. This position reports to the Vice President and General Counsel and is responsible for assisting with the review, negotiation, and drafting of contracts to ensure they provide adequate protection and are in compliance with corporate risk standards. The role also involves coordinating insurance matters, letters of credit, bank guarantees, and providing support for corporate governance.


Essential Functions

Contract Review and Negotiation:

  • Review, negotiate, and draft terms and conditions for agreements with customers, change orders, and other forms of agreements with attorney support as required.
  • Review, negotiate, and draft letters of credit and parent company guarantees for agreements with customers and vendors.
  • Review, negotiate, and draft release and waivers of liens or other instrumentalities.

Coordination with Financial Institutions:

Coordinate requests for letters of credit and bank guarantees with financial institutions and the Finance Departments for TEiC and GSI.

Insurance Coordination:

  • Work with the Corporate Risk Manager on claims, certificates of insurance, and annual insurance renewals.
  • Corporate Governance Support:
  • Prepare written consents and other corporate governance documentation as directed.

Compliance and Due Diligence:

  • Perform export control and sanctions due diligence and coordinate efforts with outside counsel as directed.
  • Track and coordinate responses to customer compliance requirements through third-party software programs (e.g., Avetta, ISNetworld).

Administrative Support:


  • Maintain a document database, including uploading and tracking documents (e.g., agreements, compliance documents).
  • Track outside counsel invoices and process for payment.
  • Provide notary services.

Position Qualifications

Education and Experience:

  • Bachelor’s degree or equivalent experience.
  • Minimum of 9 years of experience in contract administration involving legal issues and negotiation.
  • Experience in the construction and/or power generation industry is highly desirable.
  • Licensed as a notary or the willingness to become licensed after joining TEiC and GSI.

Skills and Abilities:

  • Extensive knowledge and understanding of various commercial terms and conditions, including their legal and commercial implications.
  • Working knowledge of power generation industry and/or construction industry practices and legal standards.
  • Excellent prioritization skills with superior attention to detail and quality.
  • Strong written and verbal communication skills.
  • Ability to work independently and effectively in a group setting.
  • Proactive approach with ownership of job responsibilities.
  • Professional maturity to maintain confidentiality of sensitive company information.
