Responsibilities
Providing legal support and advice to the corporate lending and international private banking functions of the organization. Such advice and support to cover a broad range of cross-border credit and other international and domestic financing transactions (e.g., trade finance/factoring, bilateral and club deal lending, syndicated and admin agency lending, corporate commercial lending, and secondary market transactions), as well as review of financial services and corresponding products offered by the organization from a transactional and regulatory perspective
Provide legal support generally to Banco Sabadell Miami Branch, its related broker-dealer and representative offices, with particular emphasis on contractual review and negotiation, compliance support, risk management, documentation support, legal process and other corporate functions support
Interact and liaise with outside legal counsel as may be necessary in accordance with the Organization's processes
Requirements
5 years of experience as a practicing U.S. attorney, in-house experience at an international bank or other financial services institution and/or at a national/regional law firm; Active FL bar membership; U.S. J.D.
Spanish language fluency required, preferably both spoken and written
Financing experience on behalf of financial institutions, such as bilateral, club deal, syndicated, participated, trade finance and factoring transactions
Experience with respect to the international banking services and products offered by financial institutions, including investments and related regulations (e.g., Regulation S, Regulation R, Securities Act, Exchange Act)
Generalist background, having reviewed and negotiated vendor agreements, referral agreements, non-disclosure agreements, term sheets & commitment letters, and provided litigation support (subpoena and legal process responses)
Good working knowledge of U.S. banking regulations (in particular to those pertaining to the Florida Office of Financial Regulation, the Federal Reserve, U.S. Department of Treasury, OFAC, BSA/AML, and privacy requirements under federal and state law)
Familiarity with ISDA Master Agreements and schedules, LSTA forms, BAFT forms and other financial instruments and products
