As a director, Corporate Development, you will…
- Be responsible for the identification and prioritization of potential strategic opportunities through M&A, Strategic Alliances, Strategic Investments, and Joint Ventures
- Serve as thought-leader to the team, finding innovative, unique approaches to address new, complex problems
- Lead the assessment of potential strategic opportunities, steering the work toward a recommended course of action that weighs the trade-offs across multiple options
- Structure and direct the quantitative and qualitative analysis of valuation, transaction structuring, and impact to the business unit and/or enterprise; Anticipate and plan for scenarios that arise from management, counterparties, and market dynamics
- Structure and direct presentation materials for Executive and Board-level audiences, conveying a comprehensive recommendation that is justified by fact-based analysis
- Maintain senior-level relationships with internal, cross-functional teams; Plan and direct the analysis and critical deliverables as required; Support the resolution of the highest-value issues related to the transaction
- Synthesize the findings across the business unit and functional teams, weighing the trade-offs of each and building stakeholder consensus toward a comprehensive recommendation
- Support the development of definitive legal agreements, synthesizing input from cross-functional teams; Identify and mitigate financial and operational risks related to post-transaction execution
- Manage senior relationships with external service providers, directing the scope of work, timeline, and critical deliverables
- Be responsible for transaction-related business planning with cross-functional teams
- Direct the due diligence process, synthesizing input from cross-functional teams and tailoring existing frameworks to meet the requirements of new opportunities
- Plan and direct the preparation for negotiation discussions
- Maintain the senior-level working relationship with the counter-party, collaborating on core transaction elements such as business planning, timelines, transaction structure, and terms
- Be responsible for negotiating valuation and significant transaction terms with the counter-party
- Plan and direct the handoff process, including core aspects of financial models and deal terms
- Serve the enterprise as a recognized expert on industry trends, M&A trends, and prior transactions; Expertise is consistently sought after by business units and functions across the organization
- Display a comprehensive understanding of commercial contracts and interplay of key terms
- Utilize an appropriate, concise and timely communication approach for providing updates to the team and internal stakeholders
- Effectively plan and lead high-stakes meetings with company leadership, building consensus and steering toward outcomes
- Structure and lead the preparation of effective presentation materials that inform and influence executive-level audiences
- Prioritize and plan work among multiple projects, allocating assignments across the team to efficiently manage the analysis and deliverables
- Maintain the team’s focus on the project requirements which are of highest importance and most necessary to complete the objective or deliverable
- Initiate action in the absence of specific direction; Seeks ways to continuously improve work product; Consistently anticipates future project requirements and begins preparation in advance
- Act with professionalism at all times
- Approach assignments with enthusiasm and collaborative spirit
- Provide stability to peers and subordinates, even under stressful situations
- Act as a role model and provide mentorship and guidance, setting a positive example for the team
- Provide team with coaching, feedback and developmental opportunities
- Undergraduate degree (required)
- MBA (preferred)
- Investment/M&A analysis, valuation and financial modeling 10+ years
- Experience structuring transactions and leading due diligence for joint ventures, investments, and M&A is required
- Experience leading transaction negotiations is required
- Experience managing external service providers is required
- Experience in retail, consumer products, brand licensing, or food and beverage industries is preferred
- Experience in investment banking, private equity, or corporate development is highly preferred
- Experience with new business development, transitioning from initial concept through implementation is preferred
- Proven ability to meet tight deadlines and prioritize workload
- Proven ability to develop new ideas and creative solutions
- Proven ability to succeed in ambiguous situations
- Proven executive-level communication skills, both verbal and written
- Proven ability to deliver presentation to large groups
- Energetic, resourceful self-starter with high integrity, skilled at developing and maintaining highly effective relationships
- If you are working in CA, CO, IL, LA, ME, MA, NE, ND or RI, you will accrue vacation up to a maximum of 120 hours (190 in CA) for roles below director and 200 hours (316 in CA) for roles at director or above. For roles in other states, you will be granted vacation time starting at 120 hours annually for roles below director and 200 hours annually for roles director and above.
