Primary Purpose Of Job:

The Corporate Counsel I is responsible for providing legal service, advice and guidance on the legal effect of corporate activities and for the protection of the Company against claims of others. This position will integrate the Company's legal efforts with all other corporate and division functional areas, in particular, Real Estate, Construction, IT, Environmental, Travel, Petroleum, Distribution and New Business.

Major Functions

Perform various legal tasks and risk analysis for all departments in the Company. Render advice and counsel to other departments regarding legal consequences and risks associated with contractual obligations. Maintain open, ongoing communication with personnel from all departments in reviewing and preparing legal documents as required to meet Company objectives and the Strategic Plan.

Prepare, review, negotiate and approve contracts and legal instruments of the Company, to include, without limitation, the following:

  • Assisting in Real Estate’s efforts for the acquisition, lease and disposition of real estate interests by employing creative real estate strategies and contractual solutions;
  • Assisting in contract review and negotiation for all other corporate and division functional areas; and
  • Reviewing site plans/architectural drawings and exhibits for integration into legal documents ensuring accuracy and identifying any potential issues.

Monitor and assist in contractual disputes and other legal actions initiated by third parties against the Company or in actions against third parties by the Company, including the preparation of investigation and discovery materials, risk analysis, trial preparation and/or settlement.

Manage and assist with outside counsels' efforts in pursuit of the Company’s legal interests in real estate and contract-related activities.

Participate in legal trade association activities and the review of relevant legislation and regulations.

Position Specifications

Required education: Juris Doctor

Required experience: Three years of legal experience in a law firm or in commercial real estate development. Experience with real estate and transactional law and practice; and passing knowledge of litigation practice.

Desired experience: T hree to seven years in a law firm with diversified practice, or at a real estate development company with a focus on real estate transactions.

Required skills: A developed skill in negotiating and drafting various forms of legal agreements, including commercial real estate agreements (i.e. fee acquisition agreements, leases, easement agreements, rights-of-way agreements, restrictive covenants, developer covenants, etc.) and other various commercial agreements that relate to corporate, retail and distribution operations (i.e. master service agreements, IT agreements, procurement agreements, construction agreements, petroleum agreements, consulting agreements, etc.) . Strong written and oral communication skills; strong negotiation skills, analytical ability and attention to detail.

Desired skills: Basic computer skills, including Word, Excel, and Outlook; familiarity with site plans and drawings.

Starting Salary: $125,400-$156,800
