Position Summary:

The Contracts Manager will be a key member of the company's legal team, focusing on a wide range of commercial contracts and assisting the legal operations function. This person will have an important role in improving the overall operational efficiency of the commercial legal team and expected to identify areas of opportunity for improvements. This role will work closely with the commercial legal team to draft, analyze, negotiate, and complete commercial transactions with the company’s customers, vendors, and strategic partners, including MSAs, DPAs, order forms, procurement, and partnership agreements. This role is expected to propose and develop scalable solutions to improve contracting efficiency through existing lifecycle and must have experience with industry leading tech (Ironclad, Linksquares) as well as native solutions like improved playbooks and guidelines. This role will thrive with strong project management skills, experience working cross-functionally with product, sales, finance, and other counterparts, and are highly organized and self-motivated.

Essential Responsibilities:

  • Manage all aspects of the contracting process from initial discussions through negotiations, contract administration, and contract closure.
  • Prepare, redline, negotiate, and manage commercial contracts including partnership agreements, service agreements, distribution agreements, vendor agreements, consulting agreements, statements of work, software licenses, amendments, NDAs, employment-related agreements, and related legal agreements.
  • Review and negotiate contract changes requested by internal teams and vendors to ensure that contract activities are in full compliance with legal and regulatory requirements.
  • Prepare initial drafts of agreements based upon contracting standards and unique deal terms or requests.
  • Identify terms and conditions options, and/or carve-out strategies to resolve contract negotiation roadblocks while limiting risk.
  • Manage and respond to requests for information and documents from internal and external parties.
  • Act as the central integration point for a variety of company stakeholders in the contracting process.
  • Administer the legal team’s CLM system.
  • Develop and manage processes for expirations, renewals, terminations, term escalators, and other key recurring events.
  • Identify and help implement process improvements to policies and procedures for the commercial team.
  • Support special projects, as needed, including research and project management

Ideal Skills, Experience, and Competencies:

  • At least seven (7) years of relevance experience
  • At least three (3) years of experience in a Contracts Analyst/Manager role reviewing, drafting, and negotiating SAAS and technology agreements.
  • Experience with contract lifecycle management systems such as LinkSquares and related software tools such as Salesforce and DocuSign
  • Strong “figure-stuff-out” attitude

Required Education & Certifications:

  • B.A./B.S. in related field or equivalent work experience

Compensation:

  • Qualified candidates can expect a salary between the range of $98,000 to $150,000.

  • Note: Compensation is benchmarked on local Denver Metro area market rates. Qualified candidates in other locations can expect a salary package that may be adjusted based off applicable cost of wages in their respective location.
