Digital Health Acquisitions # 107 - # 108: Week of July 14th - 20th, 2024 Digital health M&A cooled off slightly last week with just two deals announced. 108: Commure acquired Augmedix in an all-cash deal valued at $139M. Augmedix, a company that previously went public through a SPAC transaction, was initially listed through a reverse merger with Malo Holdings Corp. in 2020 before listing through a traditional IPO on NASDAQ in 2021. This acquisition marks a significant move for Commure, as it aims to enhance its healthcare technology offerings by integrating Augmedix's capabilities in medical documentation and workflow automation. 107: The German/Dutch company Apothera GmbH / MYA Health acquires Disapo.de Apotheke B.V. from Europe's omnichannel premium beauty chain Douglas Group. Apothera has its main office in Berlin, Germany but operates its online pharmacy through Mya Health B.V. in Amsterdam, Netherlands. This acquisition is a strategic play to strengthen Mya Health's online pharmacy presence and reach a wider customer base. There’s a category we believe is getting too little attention when it comes to AI in healthcare: AI Clinical Documentation Integrity (CDI) While AI ambient scribes and autonomous medical coding solutions have gotten most of the headlines, we’d argue AI CDI is equally impactful when it comes to quality care and accurate billing. For those not familiar, CDI ensures that clinical documentation accurately reflects the patient’s medical condition and the provided care. Historically, CDI was a manual slog, with dedicated CDI specialists, nurses, and physicians painstakingly reviewing patient charts to ensure documentation supported the care delivered. Today, AI is reshaping this landscape. While it’s still early days, we’re seeing three primary approaches to applying AI when it comes to CDI: 1️⃣ CDI + ambient scribing—an AI ambient scribe and AI CDI assistant operate simultaneously, generating comprehensive notes and surfacing codes for physicians to review at the point of care. (Example: Ambience Healthcare’s AutoCDI) 2️⃣ CDI via real-time diagnosis support—diagnoses are suggested at the point of care based on clinical data in the EHR, with auto-generated documentation and audit trails. (Example: Regard) 3️⃣ CDI via an AI-driven post-coding / pre-billing review—the entire patient record is ingested and analyzed against what is coded, surfacing suggestions for revenue and quality opportunities. (Example: SmarterDx) To date, AI in healthcare has focused primarily on administrative use cases. With the increasing adoption of AI CDI solutions, we’re now taking a step closer to clinical workflows. As clinicians get used to AI-suggested diagnoses in the CDI context, it will be interesting to see if this increases their comfort with AI playing a role in clinical care. I waited as long as could before commented on the rash of departures from Big Retailers shutting down their various Primary Care investments. This is unfortunate as we need as much investment, innovation, and incremental experimentation to solve the very challenging problems of cost, quality, access, and outcomes impacting the very foundation of our nations health. However, when Primary Care is viewed as a secondary means to some other primary end, it’s going to be challenging to make it work. It’s a people business, with staffing being the largest component, which requires systems, processes, and technology to be smartly harnessed together–with a Service Design mentality–to ensure that each part contributes to a larger, systematic whole. Primary Care is best served “warm”, in the context of a trusted relationship that has been built over time. But critically, Primary Care needs a care model and service experience that also fits into a rational, sustainable, and viable business mode that can endure over time and varied economic circumstances. I would argue that this is one of the most critical, and probably most overlooked components of so many Primary Care initiatives–ensuring that there’s a sustainable business model.  The business model must embed the concept of Advanced Primary Care being paid for by redirecting as needed (referral management) and rightsizing care (care management / focus on health and wellbeing) which by definition means reallocating how we spend the dollars. I always revert back to the landmark study on Primary Care, the National Academy of Engineering, Science, and Medicine (NAS) on Implementing High Quality Primary Care (“IHQPC”), which not only spoke to the chronic underinvestment in Primary Care and the serious economic and health implications which result; but more importantly, identified a way to implement the changes that are required to find a new path forward. Primary Care’s role is most definitely not to be the well-intentioned but loss-leading road to hell(th). One thing is for certain, the solution to the Primary Care challenges in the US will not be found on Aisle 3.

The article below describes the delicate and complex relationship between payers and providers in the healthcare industry, often likened to a tightrope balancing act. The underlying core is human attitudes and desire for advantage. The winner controls the game afoot. Value-based care attempts to eliminate the oppositional approach and target a win-win for both. It also increases the level of responsibility that needs to be updated in today's FFS marketplace. The good news is that developing technology and analytics, with their proven track record, can improve performance beyond anything that was possible in the past, providing reassurance and confidence in the future of healthcare. The excuses for not transforming health and dental care rapidly decrease, motivating us to embrace change and strive for a better healthcare system.

Question for my network: how do you evaluate your digital health and health tech initiatives? Do you use any frameworks or services, etc? I am not one of those "tech can solve everything" people, but I do think it is a primary enabler for the future of health, equity, and "doing more with less" since we can't seem to magically triple our workforce or funding for it. Digital Health initiatives have been a little willy nilly and certainly aren't a silver bullet. But—for that reason, more and more attention is now being given to both evaluating digital health/health tech initiatives (finally!), AND bringing the health equity lens into their development/implementation (heck yes!) For the latter, I was interested to read the development of this Digital Health Equity-Focused Implementation Research (DH-EquIR) model! This framework outlines how you might start to integrate considerations of health equity into the implementation of your digital health technologies. Key takeaways: 👏 Inclusive Design: Technologies must be accessible and culturally sensitive, designed with input from diverse communities. 👏 Equity-Focused Planning: Integrate health equity considerations at every stage to reduce disparities. 👏 Continuous Evaluation: Monitor and adapt interventions to meet the needs of underserved populations. 👏 Sustainability: Ensure financial sustainability and interoperability for long-term success. 👏 Collaboration: Engage stakeholders from all sectors to drive impactful health solutions. It is promising to see health equity being promoted through thoughtful and inclusive digital health solutions designed to meet people where their real challenge is at, and I recognize that tech, people, and workflows go ✋in ✋ Frameworks like this are helpful as directional guidance to start with. I am also seeing a lot of "Digital Determinants of Health" crop up, though still meaning different things by different groups. This is very interesting! I am seeing these "divergent" systems emerging of "Have's and the Have nots" The large AI enablement systems are targeting the large Epic and Cerner Corporation to some extent MEDITECH, providing value for the megahealth systems. Independent primary care is becoming dependent on ACO enablement companies like Aledade, Inc. and Privia Health to some extent agilon health to help them contract and decrease total cost of care. I absolutely agree with the notion that: "Upfront payments at the start of model participation would help practices with limited financial reserves invest in resources to improve care delivery and participate in the models." We all know that the U.S. continues to lag other developed countries in access to primary care -- contributing to poor population health, rising costs and fragmentation. The shortage of primary care providers, coupled with misaligned reimbursement models, further widen these gaps in care. What to do about it? Investing in new models that improve accessibility is one answer for employer markets. At Morgan Health, our investment in apree health – our largest and most mature investment to date – is a great example. As part of our relationship with apree, we have performance guarantees based on targeted metrics, including access to same-day appointments, follow-up on clinical engagements (like screening or coaching) and overall satisfaction of the health care experience. Early data shows that our employees are easily able to access the care they need – and more frequently engaging with preventive services health coaching, behavioral health and nutrition and diabetes education. And we recently announced that Elevance Health will be taking an increased interest to scale these models. In Patient Blood Management (#PBM), partnerships between innovation and hospitals are crucial to avoid past unnecessary blood management decisions. These partnerships need to extend beyond the ER or OR, impacting the entire patient experience. #Patients benefit from the education provided by their selected medical center, but the public lacks this relationship. Since hospital relationships are often based on proximity, who takes responsibility for public #anemia and PBM awareness? Our team does. We're not hired or seeking donations to raise this awareness. We believed that building a bridge of engagement would attract all interested parties. The only obstacle in this engagement is the apprehension of forming new partnerships. We are pleased to see a shift in this thinking. Creating a culture of public partnerships that evolve into patient partnerships within the hospital's multidisciplinary medical team will yield the best outcomes.
