On July 8, 2024, FinCEN, the bureau of the U.S. Treasury that administers the The Corporate Transparency Act (CTA), issued FAQs with guidance on certain questions about the effect of the “dissolution” of a company on the company’s obligation to file an initial BOI report. One question is whether a reporting company that was in existence prior to 2024 but that is dissolved, wound up and terminated during 2024 and prior to the January 1, 2025 deadline for filing initial BOI reports nonetheless is required to file an initial BOI report, even after the company has dissolved, wound up and terminated. On June 28, 2024, the Supreme Court of the United States issued a landmark decision in Loper Bright Enterprises v. Raimondo overruling a 40-year-old precedent known as the “Chevron Doctrine” that required courts to defer to reasonable federal agency interpretations of ambiguous statutes. This decision has the potential to bring about a sea change in the way courts decide future challenges to federal agency rules and regulations. In celebration of Pride Month, we are spotlighting our colleagues who do incredible work. One of those individuals is Morgan Davis, an associate in the Vorys Columbus office. She is a member of the firm’s labor and employment group. She received her J.D. from The Ohio State University Moritz College of Law, where she was the treasurer of the Black Law Students Association. She earned her B.A. magna cum laude from The Ohio State University. Morgan was drawn to Vorys “not only by the impressive and robust practice of law that takes place at Vorys, but by the people who make the firm what it is.” She was shocked by how invested the attorneys were in her personal growth as a lawyer and her life outside of the law. Morgan was a summer associate in 2022 and during this time she saw “how team-oriented the firm was, from legal assistants to the library staff, and all support staff at the firm.” We asked Morgan who inspires her and why. Here’s what she had to say: “As a labor and employment attorney, working with people from a wide range of backgrounds with various life experiences shaping the way they view the world is a regular part of my practice, and I love it. I feel energized and inspired by those who weave their unique, real-world experiences into their work. It can be difficult, especially for those of us who identify as LGBTQ+, to feel comfortable being our authentic selves in the workplace. And for good reason – while I am proud to be out in my personal and professional life, I recognize that those in the LGBTQ+ community have not always been welcomed to show up as their full selves. We’re excited to welcome Erin Hayes to the firm. She joined the firm recently as an associate in the Houston office and a member of the litigation group.
