The UK Financial Conduct Authority is expected to overhaul its UK Listing Rules at its June 27 board meeting despite #stakeholders publicly voicing their concerns regarding the proposed rules. These changes could diminish the attractiveness of the UK market to international investors without necessarily meaningfully increasing its attractiveness as a listing location. In its response to the FCA's consultation, Glass Lewis shared its concerns: 🎯We're concerned about the proposed more permissive approach to multi-class shares structures and the removal of mandatory time-based sunset clauses for UK-listed companies. 🎯The dual class share structure can be beneficial to founders and unaffiliated shareholders alike by protecting long-term shareholder value during a company’s post-IPO growth stage. 🎯Most benefits to unaffiliated shareholders are eclipsed by the diminished ability of shareholders to be active stewards of these companies. 🎯The ability of #shareholders to oppose general meeting resolutions and hold boards accountable for their decisions are key tenets of stewardship, and largely negated when a shareholder’s voting rights don’t align with their economic stake in a company. We hope that the investor views that were shared with the #FCA through the consultation process are adequately considered in the finalized rules.
