CJU Terms and Conditions

 

 

By registering for the CJU conference (“CJU”), You agree to be bound to these CJU Terms and Conditions (the “CJU Ts&Cs”), which form a binding legal contract between Commission Junction LLC (“CJ”) and the CJ-invited guest(s) (“Invitee(s)” or “You” and/or “Your(s)”).  If You are registering on behalf of another Invitee, You represent and warrant that: (a) You are duly authorized to do so; (b) You have made the Invitee(s) aware of these CJU Ts&Cs; and (c) those Invitees are bound by these CJU Ts&Cs. 

 

Registration

CJU is invite-only and exclusively for active partners that meet the criteria of CJ. In the interest of providing You with a seamless registration process, CJ’s authorized third-party registration vendor(s) will collect registration information provided by You solely for the purpose of completing the registration process and in accordance with the third-party registration vendor’s privacy policy.  CJ is not responsible and will not be liable in the event that Your information is lost, stolen, or otherwise misused by the authorized third-party registration vendor(s) or any other party.

 

Fees and Cancellation

Unless otherwise specified or registration and attendance for CJU is free, full payment for CJU is due upon registration.  If applicable, You will be responsible for any federal, state, and local sales, use, value added, excise, duty and any other tax assessed, other than taxes based on CJ’s net income, related to payment of fees for Your registration to CJU.  The registration fees are non-refundable; however, cancellations may be made prior to and including August 16, 2024 without penalty. After August 16, 2024 cancellations will receive a 50% refund of the registration fee. No registration refunds will be issued after September 5, 2024.

 

Admission and Attendance

Your registration entitles You to attend CJU, as specified in Your registration confirmation.  Your invitation or registration is not transferable without CJ’s written consent (email acceptable).  CJ reserves the right to revoke Your registration with prior written notice to You (email acceptable), in its sole discretion.  All uninvited or unregistered guests may be immediately removed from CJU and the CJU premises, at CJ’s discretion. 

 

By registering for and/or attending CJU, You represent and warrant the following: 

 

i.  You are an Invitee.

 

ii.  You are at least twenty-one (21) years old.

 

iii.  Your attendance or behavior at CJU will not create a disruption or hinder CJU or the enjoyment of CJU by other attendees.

 

iv.  Other than as provided by CJ for CJU, You will not bring any outside alcohol to CJU;

 

v.  You will not solicit, encourage, or assist other attendees of CJU to work directly with You or any other party outside of CJ’s network for services similar to those offered by CJ.

 

vi.  You will not schedule, host, or attend any off-site or outside meetings or events with other CJU Invitees during CJU without CJ’s written approval (email acceptable);

 

vii.  You will comply with all requirements, policies, or regulations of CJU, including but not limited to those of its various premises.

 

viii.  You will comply with all other agreements between you and CJ; and

 

ix.  You will not engage in illegal or unethical conduct on, at, or around CJU.

 

If You are not in compliance with any of the above or are otherwise in breach of these CJU Ts&Cs, CJ may revoke Your registration or remove You from CJU, in its sole discretion, with or without notice and You may or may not be entitled to a refund of any fees paid for CJU, as CJ determines.

 

Use of Likeness

By attending CJU, You grant CJ the right to record, film, photograph, or capture Your likeness at CJU in any media now available or hereafter developed and to distribute, broadcast, use, or otherwise globally to disseminate, in perpetuity, such media without any further approval from You or any payment to You.

 

Intellectual Property

Other than any intellectual property rights of CJU’s sponsors or speakers, CJ retains all intellectual property rights in and to CJU, CJU content, and all materials distributed at or in connection with CJU.  You may not record, use, or reproduce any such content, materials, trademarks or other trade names appearing at CJU without the prior written permission of CJ.

 

Additional Obligations for Digital Events

CJ may utilize third-party web conferencing providers, websites, products, software, or other vendors (together, the “Third-Party Services”) for the purposes of facilitating a digital CJU and/or other digital events related to CJU. You are responsible for your use of the Third-Party Services, which may require Your use of one or more compatible devices, Internet access, and/or certain software. Under no circumstances will CJ be responsible or liable for any: (a) errors or omissions of the Third-Party Services; or (b) any loss or damage of any kind incurred as a result of Your use of, access to, or denial of access to the Third-Party Services.

 

In addition to the obligations set forth in these CJU Ts&Cs, by registering for and/or attending CJU and/or other digital events related to CJU, You represent and warrant the following:

 

i.  You will comply with all applicable terms and conditions of the Third-Party Services;

 

ii.  Your use of the Third-Party Services will comply with all applicable laws, including but not limited to laws related to privacy and intellectual property.  

 

iii.  You will not record, stream, broadcast, share, or otherwise provide another party access to any digital CJU event(s), including but not limited to, sharing CJU login and password information; and

 

iv.  You will not collect, access, sell, or otherwise use information related to CJU attendees except as authorized by CJ.

 

CJ reserves the right to remove any attendee of any digital CJU event or prohibit access to any digital CJU event, at CJ’s sole discretion.

 

Indemnification

You shall indemnify, defend and hold CJ and its parents and subsidiaries, and their respective directors, officers, shareholders, employees, agents, and attorneys, harmless from any liability, loss, claim or expense, including reasonable attorneys' fees, related to Your breach of these CJU Ts&Cs or Your noncompliance with any other requirements, policies, or regulations related to CJU.

 

Limitation of Liability

EXCEPT AS REQUIRED BY LAW, NEITHER CJ NOR ITS AFFILIATES SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL COSTS, DAMAGES OR LOSSES ARISING DIRECTLY OR INDIRECTLY FROM CJU OR OTHER ASPECT RELATED THERETO OR IN CONNECTION WITH THESE CJU TS&CS. THE MAXIMUM AGGREGATE LIABILITY OF CJ FOR ANY CLAIM IN ANY WAY CONNECTED WITH, OR ARISING FROM, CJU OR THESE CJU TS&CS, WHETHER IN CONTRACT, TORT, OR OTHERWISE (INCLUDING ANY NEGLIGENT ACT OR OMISSION), SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO CJ UNDER THESE CJU TS&CS.

 

Disclaimer of Warranty
CJU IS PROVIDED ON AN “AS-IS” BASIS.  CJ DISCLAIMS ALL WARRANTIES, OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS, AND MERCHANTABILITY, RELATED TO CJU OR ANY MATERIALS RELATED THERETO OR OFFERED AT CJU.  NEITHER CJ NOR ITS AFFILIATES ACCEPT ANY RESPONSIBILITY OR LIABILITY FOR RELIANCE BY YOU OR ANY PERSON ON ANY ASPECT OF CJU OR ANY INFORMATION PROVIDED AT CJU. 

 

Choice of Law and Attorneys’ Fees

These CJU Ts&Cs shall be governed by and construed in accordance with the laws of the State of Texas without giving effect to principles of conflicts of law thereof.  Further, the parties expressly consent to the exclusive jurisdiction and venue in the United States District Court for the Northern District of Texas, Dallas Division, or the District Courts of Dallas County, Texas, and all applicable appellate courts.  The prevailing party of any litigated dispute arising out of or relating in any way to these CJU Ts&Cs shall receive its reasonable attorneys’ fees, together with its reasonable costs and expenses incurred resolving the dispute, as part of the judgment.

 

Force Majeure

CJ shall not be liable by reason of any failure or delay in the performance of its obligations hereunder for any cause beyond CJ’s reasonable control, including, but not limited to, electrical outages, riots, insurrection, acts of terrorism, war, fires, floods, earthquakes, explosions, and other acts of nature, provided that such default or delay cannot be reasonably circumvented by the CJ.

 

Severability/Waiver

If any provision of these CJU Ts&Cs is held by any court of competent jurisdiction to be illegal, null or void, or against public policy, the remaining provisions shall remain in full force and effect. The parties shall in good faith attempt to modify any invalidated provision to carry out the parties’ stated intentions. The waiver of any breach of any provision under these CJU Ts&Cs by any party shall not be deemed to be a waiver of any preceding or subsequent breach, nor shall any waiver constitute a continuing waiver.

 

Survival

Any obligations which expressly or by their nature are to continue after termination, cancellation, or expiration of these CJU Ts&Cs shall survive and remain in effect after such happening.

 

Assignment

You may not assign these CJU Ts&Cs to a third party without CJ’s prior express written consent, which consent will not be unreasonably withheld or delayed.

 

Entire Agreement, Amendment, Counterpart

These CJU Ts&Cs contains the entire agreement and understanding of the parties and supersedes all prior agreements and understandings between the parties, whether oral or written, regarding the subject matter hereof. These CJU Ts&Cs may only be amended or modified by a written instrument that describes the alteration, amendment or modification, signed by an authorized representative of each party. 

 

Binding Effect

These CJU Ts&Cs shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. Each party agrees that it has had the opportunity to review these CJU Ts&Cs with an attorney and neither party shall be considered the drafter.
