The Quiet Relevance of Social Concerns, the S in ESG It has often been argued that the ‘S’ in ESG has been overshadowed in the ESG acronym, having long played third-fiddle to corporate governance and environmental concerns. There are various reasons for this, one being that the social pillar has often proved more difficult to define, and indeed confine, than the other two letters, the concept often seemingly devolving into an ‘everything but the kitchen sink’ approach to navigating the friction between societal norms and the numerous business functions associated with running a company. Indeed, employee rights, working practices, consumer relationships, other stakeholder relationships, a business’ wider relationship to society writ large and even moral questions are just a few aspects that can fall under the tent of the Social. It is precisely this broad remit, and the various guises that social concerns can take, that makes the possible reputational risks that can span from such concerns complex for companies to address. In Focus: 2024 Latin America Season Recap 2024 saw a continued trend of improving disclosure in the Latin American region. Although not a significant concern in Brazil, investors in the other Latin American markets have historically faced a challenging landscape due to the lack of timely disclosure of board nominees prior to shareholder meetings. However, in recent years, we have seen steady and sustained improvements, and 2024 continued this trend as approximately 47 percent of companies in the Spanish-speaking markets that held full board elections published the names of their proposed director nominees in a timely manner this year, a notable increase over the 41.8 percent that did so in 2023. 2024 South Korea Season Review The conflict of interest between minority and majority shareholders continued. The Korean government announced its intent to address the long-standing “governance” discount for the first time in February. This set an anticipatory tone entering into the 2024 proxy season. Korea continued to show slow progress with disclosure practices. An extreme concentration of meetings in the last week of March continued, while most companies persistently disclosed only the minimum information required. 2024 saw high-profile shareholder activism. Ahead of the season, three dissident investors sequentially launched shareholder campaigns against Samsung C&T. The highly publicized proxy contest on capital allocation was perceived as a testbed to validate how far the governance dynamic has evolved in the Korean market.
