Senior Legal Counsel

Base Location: Milan, Lombardy, Italy

A. Main Purpose of the Role:

• Supporting business development initiatives from legal viewpoint.
• Set up company legal control system and management policy.
• Providing sound legal counselling on various corporate law matters.

B. Duties and Responsibilities：

• Strong background in M&A, contract, and corporate law to supporting Europe project development and operation initiatives.
• Oversee legal activities for the company and be able to lead M&A projects, Financing, and other matters with organization-wide impact.
• Drafting, reviewing, and negotiating a variety of operational and commercial agreements, including e.g.: distribution, sales, marketing, services and supply agreements in English and Italian.
• Providing legal assistance during the whole process of project development including processes for tender or auction.
• Due Diligence of development opportunities and analysis of permitting and planning requirements.
• Review and management of property related agreements and grid access arrangements.
• Supporting negotiation of co-development and acquisition agreements and ancillary documents.
• Liaising with projects team through project implementation phase including EPC, PPA and financing.
• Assisting to understand energy regulatory frameworks and the commercial impact of legislative changes.
• Establishing and optimizing legal processes, workflows, standards, and templates.
• Advising on legal risks and proposing solutions to mitigate such risks.
• Experience in instructing and managing external/local counsel.
• Ensuring compliance with internal compliance framework and corporate approvals policies
• Opportunities will also arise to supervise the legal team’s paralegals, trainees and junior lawyers where appropriate to become involved in other areas of law where business needs arise.

C. Requirements：

• Equivalent to 8+years post qualification experience from top international/Italian law firms and in-house companies with recent experience in renewable energy sector preferred.
• Law Degree (Bachelor of Laws or above) and Italian BAR are required.
• Strong business acumen with ability to assess legal risk and commercial / practical considerations.
• Proactive, pragmatic, and efficient with a hands-on mentality.
• Excellent technical drafting skills and familiarity with the documents and types of work covered in the ‘Duties and responsibilities’ section of this job description.
• Italian native speaker, excellent communication skills in English.
