TBC Bank has successfully issued US$300 million Perpetual Subordinated Callable Additional Tier 1 Capital Notes, which were met with strong investor demand from the EU, UK, and US. The European Bank for Reconstruction and Development (EBRD) has acted as an anchor investor for 20% of issued Capital Notes. AT1 transaction has a Development Finance qualification and will contribute towards building a sustainable economy by facilitating investments in green and social projects. The Notes were listed on Euronext Dublin's Global Exchange Market and rated B2 by Moody's. Citigroup and J.P. Morgan acted as Joint Bookrunners and Joint Lead Managers for the Notes, TBC Capital acted as Joint Lead Manager and J.P. Morgan acted as Development Finance Structuring Agent. Baker & McKenzie LLP and Dentons Georgia LLC acted as legal advisors to the Bank, while Latham & Watkins LLP and BGI Advisory Services Georgia LLC acted as legal advisors to the Joint Lead Managers.
