Provide advice to the European Leadership Team in all legal matters with a focus on contract law and corporate law
Review, draft and negotiate a wide range of commercial contracts such as, master service agreements, cooperation agreements, license agreements, supplier and subcontractor agreements, confidentiality agreements, various terms & conditions and other transactional documents
Analyze and summarize legal documents and complex business transactions and contracts
Legal support for the establishment of new foreign subsidiaries/branch offices;
Identify areas of weakness, recommending scope for improvement and implementing appropriate changes
Support General Counsel and outside counsel in managing litigations, third party subpoenas and regulatory investigations, and negotiating and responding to third party subpoenas
Support Human Resources department in drafting, updating and negotiating employment agreements, independent contractor agreements, and managing compliance with applicable discrimination and harassment laws and regulations
Provide guidance on regulatory and compliance matters and assist in ensuring the company conducts its business in compliance with applicable laws and regulations
Assumption of all legal steps in cooperation with notaries/lawyers for all European entities (registrations/publications in the commercial register, purchase/sale of real estate/company shares, etc.)
Advise management on other general corporate law matters; and
Assist/handle special projects, as needed
Involved in interdisciplinary and international teams in a collegial working atmosphere
Requirements
2 -5 years' experience as a private practice lawyer duly admitted to practice as a Rechtsanwalt in Germany, a Solicitor in the UK (with a current practice certificate) or otherwise admitted to the practice of European Law, and in good standing under the applicable jurisdiction of admission and entitled to carry on the legal activities described above
Practical experience with a strong focus on corporate and complex commercial transactions
Logistics, regulatory, privacy and compliance experience preferred but not necessary
Strong sense of confidentiality and ethical conduct and adherence to applicable rules of professional conduct
Good analytical and problem-solving skills and can present complex legal issues in an understandable and structured manner
Conscientious, structured way of working and able to prioritize tasks independently
Business fluent in German and English, another European language in addition is a plus
